Pawkit, Inc. and its affiliates and subsidiaries (hereinafter “Pawkit”) welcome you to Pawkit.co.uk.  By clicking or tapping “Sign In”, “Create Account”, “Place Order” or entering or otherwise using our website, www.Pawkit.co.uk, you agree to and accept these terms and conditions that govern your use of the Site (the “Terms of Use” or “Terms”).

BY ACCESSING AND/OR USING THE SITE, YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THE TERMS AND COMPLY WITH ALL OF THE REQUIREMENTS SET FORTH HEREIN. YOU MAY NOT ACCESS OR USE THIS SITE, OR ACCEPT THESE TERMS OF SERVICE, UNLESS YOU ARE AT LEAST 18 YEARS OLD.

ARBITRATION NOTICE: THESE TERMS INCLUDE AN ARBITRATION CLAUSE A BIT LATER. YOU AND Pawkit AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU AND Pawkit WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT, JURY TRIAL, OR CLASS-WIDE ARBITRATION.

Privacy Policy

Please review our Privacy Policy, which also governs your use of our Site and is incorporated into these Terms, to better understand our practices.

Electronic Communications

When you use our Site or send us e-mails, text messages, chat, video calls, or other communications from your desktop or mobile device, you are communicating with us electronically. You agree to receive electronic communications from us, such as e-mails, texts, mobile push notifications, or notices and messages on this Site, and you may keep copies for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically comply with any legal requirement that such communications be written. Where applicable law requires it, we will obtain your express prior written consent before sending you marketing text messages or making calls.

Accounts

To use certain features of the Site, make purchases, or use other services on the Site, you must first register for an account with Pawkit (“Pawkit Account”), or you may proceed with your purchase through our guest checkout. You represent and warrant that: (a) all information you submit is true and accurate; (b) you will maintain the accuracy of such information and update it as needed; and (c) your use of the Site does not violate any applicable law or regulation, or these Terms.

You represent and warrant that you have the authority to use any credit card or other form of payment that you provide to us through the Pawkit Account, guest checkout, or otherwise. If there is a problem charging your preferred payment method in your Pawkit Account, we may charge any other valid payment method linked to your Pawkit Account.

You agree not to purchase goods or services or create a Pawkit Account under a false identity or information, or on behalf of anyone other than yourself.  

You are responsible for keeping your Pawkit Account login information confidential. You are solely responsible for all activities associated with your Pawkit Account. You agree to keep your username and password confidential and not share them with anyone. You agree to notify Pawkit immediately of any unauthorized use or suspected unauthorized use of your Pawkit Account, as well as any other actual or potential breach of security. 

Promotions

We may periodically offer promotions such as discounts, special pricing, free or reduced-cost shipping, or other incentives. If a promotional code is required to participate in a promotion, such codes are limited and may expire or be discontinued with or without notice. Promotional codes are invalid where prohibited by law. Promotional codes cannot be copied, sold, or otherwise transferred.
They are not redeemable for cash and may be cancelled or changed at any time for any reason without prior notice. We reserve the right, at our discretion, to impose conditions on the distribution of any promotional codes. Pawkit also reserves the right, at its sole discretion, to determine your eligibility for a promotion and prohibit you from taking advantage of it.

Unless expressly stated otherwise, new Pawkit Account promotions are only available to new users who have never had a Pawkit Account before. If you have previously created a Pawkit Account, signing up for one and seeking such promotion is a violation of these Terms of Use. If Pawkit determines in its sole discretion that you are ineligible for a new Pawkit Account promotion, we may charge you the full amount.

Products purchased from Pawkit through the Site are intended for use in the United Kingdom. We reserve the right, at our sole discretion, to cancel your order if we believe you are selling Products purchased from our Site outside of the United Kingdom.

Product Descriptions

Pawkit tries to be as accurate as possible. However, Pawkit does not guarantee that product descriptions, depictions, colors, dimensions, ingredient lists, or other Site content are accurate, complete, reliable, current, or error-free. Reference Pricing

From time to time, we may provide additional value to customers by advertising a discount off a “List” or “Was” price denoted by a strikethrough. For example:

List: £13.99, price: £12.99

Was: £14.10, now £12.99.

• “List” price refers to a Product’s suggested retail price as provided by a manufacturer, supplier, or other retailers (or veterinarians in the case of RX products). It does not necessarily represent an actual price that was or is available elsewhere, either in the market or on the Site. 
• The “Was” price is based on the Product’s most recent price history on the site. In particular, we calculate the “Was” price using pricing available for the Product on the Site for at least 30 of the 90 days prior to advertising the “Was” price.

Pricing

Pawkit cannot confirm the price of an item until you place an order. If you use Autoship, the item’s price will be determined when the order is processed. Despite our best efforts, it is possible that products in our catalog are mispriced. If the correct price of a Product is higher than our stated price, we may sell you the Products at a lower price, contact you for instructions prior to shipping, or cancel your order and notify you of such cancellation. By confirming your purchase at the end of the checkout process, you agree to accept and pay for the Products, as well as all shipping and handling fees and taxes. Pawkit will collect and remit sales taxes as mandated by law.

Order Acceptance

An order is not accepted or a sale agreement confirmed only because you receive an order number or an email order confirmation. A sale isn’t finalized until it is shipped. Pawkit retains the right to reject service to any customer and/or limit the order quantity on any item without giving advance notice. Before an order is accepted, information may need to be verified. The products’ availability and prices are subject to change at any time. Pawkit maintains the right to correct any error, inaccuracy, or omission (even after an order has been submitted) and to withdraw any advertised offer or promotion. Errors will be fixed as soon as they are found. Some orders are considered inappropriate use of the website. Pawkit retains the right to reject or cancel any order for any reason in its sole discretion. Additionally, at Pawkit’s sole discretion, your Pawkit account may be restricted or terminated for any reason.

Risk of Loss and Shipping and Delivery

Every item that is bought from Pawkit is created in accordance with a shipping carrier’s shipment contract. This implies that when the products are delivered to the carrier, you become the owner and assume the risk of loss.If you provide an address, products will be mailed to that address, provided it is complete and conforms with any shipping guidelines on the website. The carrier has the last say over when and where the products will be delivered to you. The carrier will make every effort to bring the products to your door; however, if your front door is difficult to reach, the carrier may, at its sole discretion, try to deliver the products to another area on your property.

Permissible Uses of the Site

Pawkit gives you a limited, non-exclusive, non-transferable license to use the site for personal purposes in accordance with these terms of use. The ability to access or use the Site for any of the restricted reasons listed below is not covered by this agreement. Pawkit has the right to cancel this license for any reason at any time.

The following limitations apply to your rights: (a) you are not allowed to use the Site to place an order for resale on behalf of yourself or a third party for resale by that or another third party—we reserve the right, at our sole discretion, to cancel bulk purchases or purchases that seem to have been made by dealers, resellers, drop shippers, or distributors; (b) you are not allowed to license, sublicense, reproduce, sell, rent, lease, transfer, assign, distribute, host, or otherwise capitalize on the Site for profit. its Products or its content without Pawkit’s express written consent; (c) you cannot alter, create derivative works of, disassemble, reverse compile, or reverse engineer any portion of the Site; (d) you cannot use the Site to create a service that is similar to or competitive, or to download, copy, or gather content or account information for the benefit of another third party, including for the purpose of reselling any of the Products; (e) without Pawkit’s express written consent, no part of the Site may be reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any way; (f) without Pawkit’s express written approval, you may not frame or use framing methods to enclose any trademark, logo, or other proprietary information or content (including text descriptions and pictures) of the Site; and (g) you may only use the Site in accordance with the law.

The Site or any portion of it may be changed, suspended, or discontinued at any time by Pawkit, with or without prior notice. You acknowledge and agree that Pawkit will not be held responsible for any changes, suspensions, or discontinuations to the Site or any of its components, either to you or to third parties. Pawkit, its licensors, suppliers, and other content providers reserve and retain any rights not specifically granted to you in these Terms of Use.

Intellectual Property Rights

It is expressly forbidden to utilize the Marks or any other IP without Pawkit’s prior written consent. Pawkit is the sole and exclusive owner of the Site’s organization and layout, including but not limited to its Marks, photos, text, graphics, buttons, screenshots, and other content or material. The United Kingdom and international copyright laws protect all work that is included in or made available through Pawkit, including text, copy, graphics, logos, button icons, pictures, videos, data, and software. 

The site is prohibited from being copied, reproduced, modified, republished, uploaded, downloaded, posted, transmitted, or duplicated in whole or in part without permission.

Some of the products and material advertised on Pawkit are sourced from a network of independent distributors, product and content providers, veterinary clinics, and other third parties. Not owned by us, but belonging to their respective owners, are all other trademarks, service marks, product names, package designs, company names, or logos connected to

User Content

Any and all information and content, including photographs, that a user submits to Pawkit through any of the following channels is referred to as “User Content” of the Site: social media (such as Facebook, YouTube, Instagram, Pinterest, and Twitter), the Site itself (such as a user profile, product review, or question and answer), or other interactions with Pawkit (such as phone calls, chats, or emails). Your User Content is entirely your responsibility. Any reliance on the accuracy, completeness, or utility of your User Content by others, as well as any disclosure of your User Content that identifies you or any third party by name, are all risks that you accept when using it. You hereby declare, represent, and warrant that (a) you are the owner of your User Content or that you have the required licenses, rights, and/or consents to use it with the Site in the ways specified herein, and (b) your User Content does not contravene these Terms’ Acceptable Use policy. You are not permitted to indicate or infer that Pawkit is the source, sponsor, or endorser of your User Content. You run the risk of being held liable if, for instance, your User Content breaches the Acceptable Use policy because you are alone in charge of it and Pawkit is not. You acknowledge and agree that Pawkit may remove User Content at any time and is under no obligation to backup any User Content. 

You automatically grant Pawkit an irrevocable, nonexclusive, royalty-free, and fully paid worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use your User Content by submitting it or using it with the Site. You also represent and warrant that you have the right to grant Pawkit sublicenses of the aforementioned for the sole purpose of using your User Content on the Site, Pawkit’s social media platforms, marketing or promotional campaigns, or for any other business purpose. With regard to your User Content, you thus irrevocably renounce (and cause to be waived) any claims and assertions of publicity, moral rights, or attribution.

To the extent permitted by applicable law and our Privacy Policy, Pawkit will consider any comments, correspondence, or recommendations you send it as non-proprietary and non-confidential. Therefore, you agree that you will not provide Pawkit with any information or ideas that you believe to be proprietary or private, unless you have a formal agreement with Pawkit to the contrary.

You understand and agree that we have no control over User Content and that we cannot guarantee that any User Content is accurate, up-to-date, appropriate, or of high quality. We also disclaim all liability for User Content and your interactions with other Site users. You acknowledge that Pawkit is not liable for any damages or losses brought on by these exchanges. We are not required to get involved in any dispute that arises between you and any Site user.

Acceptable Use Policy

You consent to refrain from gathering, uploading, transmitting, displaying, communicating via email, phone, or electronic means, or disseminating any User Content in connection with your use of the Site and interactions with Pawkit, its staff, and users; (a) that infringes upon any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) that violates someone else’s privacy, is illegal, harassing, abusive, tortious, threatening, harmful, abusive, invasive, vulgar, defamatory, false, purposefully misleading, trade libelous, pornographic, obscene, or obviously offensive (for example, content that incites racism, bigotry, hatred, or physical harm of any kind against any group or individual). or otherwise offensive content of any form or nature, including content that poses any danger to minors; or (c) in contravention of any law, rule, or third-party responsibilities or restrictions.

Furthermore, you consent to refrain from using the Site in the following ways: (a) uploading, transmitting, or disseminating any computer viruses, worms, or software designed to corrupt or change a computer system or data; (b) sending unsolicited or unauthorized promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other type of unsolicited or duplicate messages, whether commercial or not; (c) harvesting, collecting, gathering, or assembling users’ information or data, including email addresses, without their consent; (e) use password mining or other methods to try to obtain unauthorized access to the Site or other computer systems or networks connected to or used in conjunction with the Site; (f) harass or interfere with another user’s use and enjoyment of the Site; (g) buy products for resale; (d) interfere with or disrupt servers or networks connected to the Site or violate the regulations, policies, or procedures of such networks.

If you violate the Acceptable Use Policy or any other provision of these Terms, we reserve the right (but are not obligated under these Terms of Use) to review any User Content, look into it, and/or take appropriate action against you. This may include deleting or altering your User Content, closing your Pawkit Account, and/or reporting you to the appropriate law enforcement agency. If, in our sole discretion, your User Content infringes upon the rights of, endangers, or jeopardizes the safety of any other person, or if it puts us or any other person in danger, we may also delete or alter it. To comply with valid demands from the government, We may access and disclose any information we deem necessary or appropriate, such as your Pawkit Account username and password, Internet Protocol (IP) address and traffic information, usage history, and User Content, in response to subpoenas, court orders, or to safeguard our company and members.

Third Party Sites and Other Users

Links or advertising for third-party websites and goods (collectively, “Third Party Sites”) may be found on the Site. Examples of these include social networking platforms like Facebook, YouTube, Twitter, and Pinterest. Pawkit has no control over these Third Party Sites, and Pawkit bears no liability for any of them. Pawkit does not examine, authorize, monitor, endorse, warrant, or make any statements regarding these Third Party Sites; it merely offers links to them for convenience. You accept the risk of using any third-party websites. The rules and policies of the relevant service provider, including those pertaining to privacy and data collection, take effect when you link to a Third Party Site. Before completing any purchase with a third-party website, you should conduct whatever research you believe is required or appropriate.

By signing this agreement, you release us, our officers, employees, directors, agents, affiliates, subsidiaries, parents, joint ventures, successors, and any other businesses that share control with us from any claims, demands, or losses, damages, rights, or actions of any kind, including death, property damage, or personal injury, that are either directly or indirectly related to or result from any interactions with.

Disclaimer of Warranties

Despite Pawkit’s best efforts to ensure accuracy and dependability, the information and data on the site are provided “AS IS” and “AS AVAILABLE” due to their compilation from multiple sources. You hereby acknowledge and accept that you use the Site and any information on it at your own risk. The accuracy or completeness of the content offered on this website, as well as the goods or services offered for sale on this website, are not guaranteed by Pawkit or its third-party service providers, contractors, partners, suppliers, or affiliates. We cannot and do not guarantee uninterrupted use of this website. SECURE OR ERROR FREE. ACCORDINGLY, TO THE EXTENT PERMITTED BY APPLICABLE LAW, Pawkit DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PURPOSE, AS WELL AS ANY WARRANTIES RELATING TO DEALING, PERFORMANCE, OR TRADE. Such disclaimers might not apply to you because some jurisdictions prohibit the disclaimer of warranties.

Limitation on Liability

Pawkit, our officers, directors, employees, agents, affiliates, subsidiaries, parents, joint ventures, successors, and any other businesses under our common control, as well as any independent contractors or third-party veterinarians (“Pawkit GROUP”), will never be liable to you or any third party for any lost profits or indirect, consequential, incidental, special, or punitive damages resulting from or connected in any manner to your relationship with Pawkit GROUP, your use of the site, products, tools, applications, or third-party websites, or your interaction with or reliance on any updates or advice from Pawkit, or any such individual or organization, even if we were made aware that such damages would occur. You are solely responsible for any damage, including but not limited to your computer system or data loss, that may arise from using the site, products, tools, applications, and third-party websites, as well as any interactions with or reliance on updates or advice from Pawkit or any such person or entity. Regardless of what is stated above, we are not liable to you for any damages resulting from or connected to your relationship with Pawkit Group, any interactions with, or reliance on advice from, any of these individuals, organizations. Regardless of the nature of the action, or these terms (for any reason whatsoever) will always be restricted to the greater of (A) fifty US dollars (£50) OR (B) the sums you have paid Pawkit during the previous twelve months. You agree that any claim between us must be brought within two (2) years of the relevant purchase date or the event or events giving rise to the claim, whichever comes first.

The aforementioned limitation or exclusion of liability for incidental or consequential damages may not apply to you in certain jurisdictions, and you may also have other legal rights that differ depending on the jurisdiction.

Indemnity

In the event that any third party makes a claim or demand, including for associated expenses and legal fees, as a result of (a) your use of the Site or Products, (b) your User Content, (c) your violation of these Terms, or (d) your interactions with such independent contractors or reliance on their advice, you agree to indemnify Pawkit Group and hold them harmless. Pawkit Group retains the right, at your expense, to take sole responsibility for the defense and management of any action for which you must pay us compensation, and you consent to assist us in defending any claims. You promise not to resolve any issue without Pawkit’s prior written approval.When Pawkit learns of any such claim, action, or proceeding, it will make a good faith effort to let you know.

Other.

We agree that, regardless of any clause in these Terms to the contrary, any future material changes made by Pawkit to this dispute resolution clause will not affect any specific claim or claims for which you have already given Pawkit notice. The parties consent to the exclusive jurisdiction of the state and federal courts in Broward County, Florida, to settle any disputes that do not fall outside the purview of this arbitration agreement.

Term and Termination

During your use of the Site, these Terms of Use shall continue to be fully enforceable, subject to this Section. For any reason in our sole discretion, including using the Site in violation of the Terms or if we suspect you are under the age of 18, we may (a) suspend your ability to use the Site (as well as your Pawkit Account) or (b) terminate your Pawkit Account. Your Pawkit Account and your ability to access and use the Site will immediately expire upon the termination of these Terms. You are aware that any User Content you may have posted may be deleted in the event that your Pawkit account is terminated. For any termination of these Terms, including the deletion of your User Content or the termination of your Pawkit Account, Pawkit will not be held liable to you in any way.

Along with any other rights and obligations that by their very nature should endure, the provisions herein pertaining to our intellectual property rights, User Content, acceptable use, disclaimer of warranties, indemnity, limitation and liability, and dispute resolution, including individual arbitration, will endure such termination. This includes the termination of any other aspect of your relationship with Pawkit, such as your decision to stop making purchases from Pawkit or the cancellation, opt-out, or end of any participation in any service, program, or promotion that Pawkit offers.

General

As with our Terms, Privacy Policy, and any other terms and conditions that may be applicable to our Site and/or Products, Programs, and Services, we reserve the right to make modifications to our Site at any time. The current terms and conditions that govern your transactions and usage of our site should be seen and reviewed each time you use it. Your only option is to avoid using our site if you do not accept the terms and conditions in effect at the time.Any provision of these provisions that is found to be unlawful, invalid, or unenforceable for any reason will be deemed severable and will not impact the enforceability or validity of any other provisions.

Any right or condition of these Terms of Use that we are unable to execute or enforce will not be deemed waived. These Terms’ section headings are merely for convenience and have no bearing on the terms of the contract or the law. “Including” refers to including without restriction. If any part of these terms is determined to be invalid or unenforceable for any reason, the remaining parts of these terms will remain intact, and the invalid or unenforceable part will be deemed changed to the greatest degree allowed by law.Without Pawkit’s prior written agreement, you are not permitted to assign, subcontract, delegate, or otherwise transfer the Terms of Use, your rights and duties under them, or any of the aforementioned. Any effort to do so will be deemed void. The assignees will be bound by the terms.
